Completion of THEOLIA’s capital reduction
During its meeting held on June 25, 2012, THEOLIA's Board of Directors decided to implement the capital reduction because of losses, through the reduction of the par value of the shares, that has been approved under the twelfth resolution by the Annual Extraordinary and Ordinary General Meeting held on June 1st, 2012.
The par value of each share of THEOLIA's capital is thus reduced by 0.30 euro, from 1 euro to 0.70 euro. The total amount of the capital reduction, ie 38,412,479.10 euros, is allocated to the “Retained earnings” item.
After this capital reduction, THEOLIA's share capital is brought back to 89,629,117.90 euros, divided into 128,041,597 shares with a par value of 0.70 euro each.
The completion of the present capital reduction because of losses has no impact on the ratio of share allocation to holders of THEOLIA's securities (convertible bonds issued by THEOLIA on October 2007, amended in 2010, and share subscription warrants issued by THEOLIA). In case of exercising their rights, the holders of THEOLIA's securities will receive the same number of shares they were entitled to receive before the completion of the present capital reduction. However the shares they would receive after exercising their rights will have a different par value (0.70 euro instead of 1 euro)
